ThompsonGas, headquartered in Frederick, Maryland, has acquired Dixie LP Gas Inc. of Augusta, Georgia, and Gas Heat Inc. of Trenton, South Carolina. Legacy Energy Consulting, a merger and acquisition advisory firm serving the propane industry, announced the deals.

Dixie LP Gas and Gas Heat represent more than six decades of family ownership and local propane service in Georgia and South Carolina. Founded by Thore and Virginia Lippert and later led by their daughter, Caroline Guay, the businesses built strong customer relationships and a long-standing reputation for dependable service, according to Legacy Energy Consulting.

The transaction brings Dixie LP Gas and Gas Heat under ThompsonGas, a national propane provider positioned to continue supporting the companies’ customers, employees and communities.

“We are pleased to complete this transaction with ThompsonGas and confident they are the right buyer to continue serving our customers with the care they expect,” Guay says. “Chad [Pendill], Dustin [Shafer] and the Legacy Energy Consulting team guided us through each stage of the sale process with patience, professionalism and clear advice. Their support made a complex transaction manageable, and we appreciate their role in helping us achieve a successful outcome.”

ThompsonGas began operations with Lloyd and Dorothy Thompson in a Boonsboro, Maryland, storefront in 1946, with a promise to provide quality products and service to their customers.

“We are excited to welcome Dixie LP Gas and Gas Heat to the ThompsonGas family,” says ThompsonGas CEO Erik Peterson. “Their addition strengthens our presence in the Georgia and South Carolina markets and, just as importantly, brings talented teams and valued customers into our organization. We look forward to building on their strong local relationships and making both their employees and customers feel right at home with ThompsonGas.”

Pendill, founder and president of Legacy Energy Consulting, adds, “This transaction reflects the strength of the businesses Caroline and her family built and the importance of finding a buyer in ThompsonGas that is aligned with their values. We were honored to advise Dixie LP Gas and Gas Heat through a structured process focused on continuity for customers, employees and the communities they serve.”

Legacy Energy Consulting served as exclusive financial adviser to Dixie LP Gas and Gas Heat, providing valuation guidance, confidential buyer outreach, transaction strategy, negotiation support and due diligence coordination. Pendill, Shafer and Tyler Pendill managed the transaction, which marks Legacy Energy Consulting’s fourth transaction in 2026 and its 31st transaction since 2020.
