American Welding & Gas acquires First Call Propane

American Welding & Gas (AWG), a Raleigh, North Carolina, company, acquired First Call Propane, a family business based in Roosevelt, Utah. Legacy Energy Consulting, a merger and acquisitions consulting firm, announced the sale.

Dale and Kelari Winterton explained their decision to sell First Call Propane, stating, “When we made the choice to retire, we had three goals: to pass our business on to a company with the same values we worked so many years to exemplify; to find a company that would promote and value our employees; and to find a company that would give our customers the same great pricing and customer service they expect.”

According to its website, AWG operates more than 100 retail locations and 22 gas fill plants in 22 states, stretching from Montana to Pennsylvania and down through Texas and Florida. AWG has more than 800 employees who serve customers in more than 30 states and Canada.

“Dale and Kelari have developed a highly successful business and positioned themselves as a prominent propane provider in the Roosevelt, Utah, market,” says Chad Pendill, founder and president of Legacy Energy Consulting. “It was a privilege to collaborate with them throughout the sale of their company.”

Legacy Energy Consulting delivered merger and acquisition services to First Call Propane. These services encompassed the initial valuation, discreetly marketing the business to potential buyers through an efficient and structured sale process, negotiating the final deal structure and managing the due diligence process between the seller and the eventual buyer. Chad Pendill and Tyler Pendill managed the transaction, the second for Legacy Energy Consulting in 2025 and its 23rd since 2020.

Legacy Energy Consulting is a family-owned business established in 2020 by Chad Pendill, a propane industry veteran of over 30 years, and his son Tyler Pendill. The firm specializes in offering merger and acquisition services to propane and refined fuel businesses across the nation.
